Licensing Lawsuit Filed by SEI Global against SS&C Defendants

The complaint alleging abusive licensing practices was filed under seal in the U.S. District Court for the Eastern District of Pennsylvania and has only just been made public.

SEI Global Services has filed a lawsuit against SS&C Advent and SS&C Technologies Holdings alleging the defendants are harming the firm through abusive licensing practices.

The lawsuit was filed in late February under seal in the U.S. District Court for the Eastern District of Pennsylvania and has only just been made public.

The complaint states that SEI is “a provider of outsourced portfolio accounting (and related administrative) services to investment managers and hedge funds, a business in which it competes with SS&C.” Also noted is that SEI uses accounting software licensed from Advent in connection with its provision of portfolio accounting services to its clients.

“SEI had no issues or disputes with Advent from the inception of the contract between the parties in 2000 until the end of 2019,” the complaint states. “This dispute followed the acquisition of Advent by SS&C, a direct competitor of SEI, in 2015. Between 2015 and 2019, peace between the companies still existed. However, SS&C decided to flex its muscles in the fall of 2019 by raising a series of disingenuous positions to gain an advantage over SEI, leaving SEI no choice but to file this lawsuit to protect itself.”

According to the lawsuit, SEI and Advent executed a software license and support agreement on September 9, 2000. The agreement allegedly “renews automatically unless SEI elects not to renew it, or if one of the parties terminates pursuant to the termination provision.” According to SEI, the agreement has been subsequently amended by the parties but has not been terminated.

“The agreement and its amendments cover a series of license keys from Advent that deliver critical data and portfolio accounting processing functionality to SEI,” the complaint states. “The license keys provided by Advent to SEI dictate which components/capabilities SEI is able to use within the Advent software. The functionality provided by Advent’s software is viewed as standard in the industry and can only be delivered through contracting with defendants.”

The complaint goes on to suggest that while SS&C is SEI’s direct competitor, Advent traditionally was not. However, that allegedly changed with the SS&C acquisition.

“SS&C dominates, controls, manages and operates Advent, to such an extent that, at all times since its acquisition, there existed a unity of interest between SS&C and Advent and complete ownership of Advent by SS&C,” the complaint states. “Advent is SS&C’s alter ego. SS&C is using its alter ego as an instrumentality or conduit to effect its own anticompetitive objectives. Now that SS&C owns Advent, defendants are now attempting to unilaterally and improperly revoke the information to which SEI is entitled under the agreement, in violation of the terms of the agreement. This improper termination will cause substantial harm to SEI’s business.”

According to the complaint, other investment accounting systems exist in the marketplace, but SEI would allegedly need “substantial time to research other systems, select a replacement, contract with another vendor and convert its business from the Advent-provided software to an alternative software.”

“This process would take years,” the complaint states. “It would necessarily disrupt SEI’s business, and may not be successful. Even if SEI were to successfully switch to other portfolio accounting software, doing so would likely come at a significant competitive cost to SEI because many investment managers have a strong preference for using Advent software and will only work with providers of outsourced portfolio accounting services that have access to Advent’s products.”

SEI says it has tried to negotiate with the defendants in good faith, but that the defendants have refused to heed the terms of the agreement, “giving SEI no choice but to file this lawsuit to protect its business.”

According to the complaint, on October 31, 2019, Robert Roley, a senior vice president at Advent, sent an unexpected letter to SEI on “SS&C Advent” letterhead.  This letter stated the following: “You are hereby notified that unless Advent and SEI are able to reach mutually satisfactory terms for a renewal of the below-listed software products and services, Advent is unwilling to renew or extend the present term for such products. Therefore and for the avoidance of doubt, you are hereby notified that Advent hereby elects not to renew any of the products upon the expiration of their current terms.”  

SEI claims that it has engaged in subsequent discussions with defendants in an effort to resolve this dispute in good faith.

“However, defendants’ pricing proposal included an over 40% increase in rates to SEI, despite the agreement’s 3% cap on pricing increases per year,” the complaint states. “This proposal is in itself a breach of the agreement and is an attempt to extort SEI. As a 40% increase is clearly not made in good faith, this proposal is unacceptable to SEI.”

SS&C provided the following statement regarding the litigation: “SS&C finds this suit to be without merit.  After the suit was filed by SEI under seal, SS&C successfully petitioned the Court to unseal the action despite SEI’s objection. SS&C abides by its contracts and we or our predecessor companies have enjoyed a twenty year relationship with SEI Corporation.”

Man GLG Announces Head of Asia Equities

Man GLG has announced that Andrew Swan will join the firm as head of Asia (ex-Japan) Equities.

Swan will initially be responsible for managing a concentrated Long Only Asia (ex-Japan) equity strategy. He will join the firm in  in the middle of the third quarter and will be based in Sydney, Australia. Swan will report directly to Man GLG CEO Teun Johnston.

Swan joins Man GLG from BlackRock, where he most recently served as head of Asia & Global Emerging Market Fundamental Equities, managing client assets across multiple Asian and emerging markets equity strategies and helping to develop the firm’s investment platform in Asia. He joined BlackRock in Hong Kong in 2011, before which he spent 17 years at JPMorgan in various Asia Pacific equity portfolio management and research roles. He earned a bachelor’s degree in accounting and finance from the University of New South Wales, Australia.

Pacific Life Adds Sales SVP

Pacific Life has announced Kevin Kennedy as senior vice president, sales and chief marketing officer of the company’s Retirement Solutions Division. The Retirement Solutions Division offers products and solutions designed to help individuals and families achieve asset growth, sustainable retirement income and long-term financial independence.

Kennedy joins Pacific Life from AXA Equitable Holdings (EQH), where he served as managing director and head of the company’s largest business unit, individual retirement.

At Pacific Life, Kennedy will oversee the division’s sales and marketing organization with oversight for sales execution and analytics, strategic partner and asset manager relationships, structured settlements, and expansion into the registered investment advisor (RIA) market.

“Kevin’s leadership skills, coupled with an impressive retirement industry background, equip him well to be a key leader in our organization as we navigate through a period of growth and transformation,” says Joe Celentano, executive vice president and head of the Retirement Solutions Division. “Kevin truly stands out among others in the industry, and his talents make him ideally suited to help build upon Pacific Life’s legacy and strength in retirement solutions.”

Fiduciary Trust Hires VP of Client Service Team

Fiduciary Trust has expanded its client service team with the hiring of Colleen M. Bartling as vice president and investment officer.

Bartling joins Fiduciary Trust from BNY Mellon, where she was a vice president and senior wealth manager. She previously worked at Northern Trust Co. analyzing portfolio performance and asset allocation.

“Colleen brings more than 18 years of experience working with multi-generational families, business owners and high-net-worth individuals,” says John P. Morey, head of Client Service and Business Development at Fiduciary Trust. “Her deep knowledge and personal approach enhances our team of experts who provide clients with customized wealth planning and investment management services.”

She earned her bachelor’s degree and master’s degree from Northeastern University.

SLC Management Expands Fixed Income Team

SLC Management has updated its Total Return Fixed Income Team.

Effective immediately, Christy Whittington will join SLC Management as managing director, Business Development, reporting to Chris Adair, head of U.S. Business Development and Client Relationships, SLC Management. Whittington will be responsible for developing and managing relationships with institutional investors, including corporate and public pension plans, endowments and foundations, and consultants and outsourced chief investment officer (OCIO) teams. She will be located in Chicago with a focus on the Midwest and Southeast regions.

Whittington brings over 20 years of experience working with plan sponsors and global investment consultants. Most recently, she was senior investment director at Legal & General Investment Management America, where she was responsible for establishing, growing and maintaining relationships with institutional plan sponsors and consultants in the Southeast region. Her portfolio of work includes roles as manager, Retirement Investments, FedEx Corp., and senior investment consultant, Consulting Services Group LLC.

Christy holds a master’s degree from the University of Memphis and a bachelor’s in business administration from the University of Mississippi.

In addition, SLC Management has announced that Annette Serrao has been promoted to senior director and portfolio manager, U.S. Total Return Fixed Income, SLC Management, effective immediately. In her new role, she will co-manage various strategies with a focus on corporate credit. Serrao will be involved in the portfolio construction process as well as trading and will make investment decisions based on fundamental and technical credit research. She has held various roles within SLC Management and has been with the firm since 2010. Prior to her new role, Serrao was a credit analyst and performed credit research and valuation on fixed income investments.

Serrao holds a master’s degree from Pace University, Lubin School of Business, with a major in financial management. She will continue to report to Richard Familetti, CIO, U.S. Total Return Fixed Income, SLC Management, and will be based out of New York City.

SS&C Technologies Names VP for Retirement Plan Administration Team

SS&C Technologies Holdings Inc. has announced that Nicholle Taylor has been named vice president of Retirement Plan Administration. She will focus on expanding business process outsourcing for SS&C retirement plan clients.

SS&C Retirement Solutions supports organizations that represent more than 8 million participants and approximately 400,000 plan sponsors. Taylor will focus on improving servicing, operations and growth. She will report to John Geli, president, Retirement Solutions.

“Nicholle is a respected leader in retirement operations and services with more than 20 years of experience and a proven track record. Her strong background in process design and plan and participant servicing will bring tremendous value to the organization,” Geli says.

Taylor joins SS&C from Ameritas, where she managed operations for its Retirement Plan Services business. She spent the first 20 years of her career at Vanguard in a variety of roles, including participant support and plan administration, day-to-day client services and sales and relationship management.

Office Leader Joins Mercer Northern California Division

Mercer has named Ben Kibbe as its Northern California office leader, based in San Francisco. His responsibilities include driving revenue growth and building brand and market awareness across Northern California and Hawaii. He will report to Macaire Pace, west market CEO.

“Ben is a proven leader with a deep understanding of the industry and the Bay Area,” Pace says. “His experience during these uncertain times will benefit our clients and our colleagues, and we are delighted to have him leading our business in this important market.”

Kibbe has spent nearly 30 years in the human resources (HR) consulting industry. Prior to this role, he served as Mercer’s client management leader for the West Market. Kibbe joined Mercer from Willis Towers Watson, where he held a variety of leadership roles. He earned his bachelor’s degree in political science at Northwestern University.

NFP Acquires FIA

NFP has announced the acquisition of Fiduciary Investment Advisors LLC (FIA), in a transaction that closed on April 1.

NFP is integrating FIA with DiMeo Schneider & Associates LLC, (DiMeo Schneider), a national investment consultant serving retirement plans, nonprofit organizations and private clients, and a subsidiary of NFP. The combined entity, led by the DiMeo Schneider and FIA management teams, operates independently under the DiMeo Schneider brand.

Robert DiMeo, managing partner of DiMeo Schneider, is CEO of the combined entity; Mark Wetzel, president of FIA, serves as president.

 “We have great respect for what Mark and his team have built, their approach to the business and how they serve clients,” DiMeo says. “We look forward to learning from each other, working together to enhance opportunities for our employees and clients, and increasing our ability to help current and future clients prosper.”

The Wagner Law Group Adds ERISA Attorney as Partner

The Wagner Law Group has added Ivelisse Berio LeBeau as a partner. 

Le Beau is an attorney specializing in ERISA [Employee Retirement Income Security Act] and employee benefits law and has been working in the field for more than 25 years.

She has counseled sponsors of multiemployer pension and welfare benefit plans; assisted health plan sponsors in complying with the Patient Protection and Affordable Care Act (ACA); worked with benefit plan sponsors and fiduciaries during U.S. Department of Labor (DOL) investigations; and defended benefit plan fiduciaries in federal and state court actions alleging breaches of fiduciary duty, challenging trustee decisions, or seeking plan benefits. Le Beau has also served as a trial attorney in the Office of the Solicitor of the DOL, representing the DOL in ERISA breach of fiduciary duty and prohibited transaction lawsuits related to employee pension and welfare benefit plans, including actions with respect to imprudent investment decisions, and against service providers who generated and retained undisclosed indirect compensation.

Le Beau is editor-in-chief of Bloomberg The Bureau of National Affairs’ (BNA) Employee Benefits Law, 4th edition, and the Winter and Fall 2018 Supplements to the 4th Edition—a legal treatise covering employee benefits law practice.

She was also editor-in-chief and co-editor of earlier editions of that vital legal resource. Le Beau is a frequent speaker on employee benefits law topics at events sponsored by organizations such as the American Bar Association’s Joint Committee on Employee Benefits and the Florida Bar Labor & Employment Law Section. She is also a fellow of the American College of Employee Benefits Counsel, an invitation-only organization of nationally recognized employee benefits lawyers.
